Hi All, I am working with a group of companies. In PF account company name is Airen Yamaha which is a fir of Airen Automobile. I want to change this Airen Yamaha Name to Airen Automobile. I concerned with PF Office. But didnt get proper guidance. Please help me out to how to change name? what are the formalities? etc.

Hi Pooja Sharma, This can be done by giving of written request letter for change of company name, along with the proof of valid (official) document if any related to the company name change.

We have done it recently .on that time we use to write a request letter in a copy letter letter about the name change and also enclosing updated MOA (Memorandum of association) as a proof.. rest they will take care..

Dear Pooja ji,
I would like to add to Pragnaa HRCS and Madhan ji, you need to submit EPFO Form 5A in duplicate upon Change of Name of Company. You are liable to submit Form 5A upon any kind of change in your constitution / information filed with EPFO earlier.
Similarly, under ESI, in addition to writing about the change with relevant documents, you need to submit to ESIC annual return in Form 01 (A). In this return you need to incorporate the change. This return you can submit onlin now.

It is strange that even EPFO is not aware of procedures of change of name.In addition to Form 5A & 01A the change should be informed to Inspector of factories/registration cfficer under Shop & comm Estt Act as the case may be,,and to the applicable welfare fund & prof tax authorites.

The same may kindly be noted.
a) If the name change has happened due to merger of two companies / firms then the copy of the relevant order form the jurisdictional high court is required to be submitted to all authorities authorities including the factory inspectorate, labor, tax and excise authorities need to be informed.
b) In other cases, all the other authorities including the factory inspectorate, labor, tax and excise authorities need to be informed with a copy of the new memorandum of articles of association as has been approved by the registrar of companies.
c) If it is a single owner proprietary firm then a simple letter on the letter head with update memorandum of articles of association would do.

If your question is how to change company name? My answer to it, is as under:
In case of proprietary firm or partnership firm, change of name means saperate entity. You need to obtain fresh registration with PF, ESI, PT, LWF, Factory Licence etc. Also with service Tax, sales Tax, VAT etc.
In case of Private Limited or Limited Company, name change can be obtained by making an application to ROC by adopting due procedure under the Company Act and obtaining fresh certificate of incorporation upon change of name.
Name change on account of mergers and acquisition, on the basis of order by respective HCs apply to ROC and obtain fresh certificate of incorporation.
Intimation of change of name so done, shall be given to all the concern authorities with supporting. You need to get endorsement or fresh certificate upon this change. Additionally, you need to submit prescribed Form, if any by any authority, e.g. EPF.
