Company is an artificial person created by law. A company cannot sign. Hence, it has a common seal approved by the directors of the company. As such, the seal can only be used by the company or anyone authorized by the company. Naturally, the company will not authorize dozens of employees to use its seal.
In a bank, when we go to verify our signature or any other certificate, the officer puts his signature, his authority number, and the round seal of the bank. This is because the bank officer has to verify many documents every day.
In any other company, a seal is not used frequently. Rather, it is not used. What is used is a letterhead. The name and designation of the person signing are typed along with their position. Under the service rules or standing orders, the manager is authorized to use the letterhead. The manager is not every head of department (HOD).
A letterhead is used when communication is with an outsider, e.g., a candidate, supplier, inspector, etc. For internal communication, a blank paper or an inter-office memo is used where there is no seal or letterhead.
What applies to hard copy also applies to soft copy. The company ensures that it is not misused.
A seal is not a rubber stamp; it is an embossing machine. We see it on share certificates or degree certificates from the university. It cannot be tampered with.
