Here is a general contract agreement format for a contract employee:

CONTRACT EMPLOYEE AGREEMENT

This Contract Employee Agreement ("Agreement") is made and entered into on [Effective Date] (the "Effective Date") by and between [Company Name] ("Company") and [Employee Name] ("Employee") for the provision of services by the Employee to the Company.

1. DEFINITIONS

* "Services" means the services to be provided by the Employee to the Company, as described in Exhibit A attached hereto.
* "Term" means the period commencing on the Effective Date and ending on [Termination Date], unless terminated earlier as provided in this Agreement.
* "Confidential Information" means all information, whether written or oral, that is disclosed by the Company to the Employee or that the Employee gains access to during the performance of the Services, including but not limited to trade secrets, business plans, financial information, and other confidential and proprietary information.

2. TERM AND TERMINATION

* The Term of this Agreement shall commence on the Effective Date and shall continue until [Termination Date].
* Either party may terminate this Agreement upon written notice to the other party, provided that if termination is due to non-payment of fees or breach of this Agreement, the terminating party shall provide a 30-day written notice prior to termination.
* Upon termination, the Employee shall return all Confidential Information and any property belonging to the Company, and shall not use any Confidential Information for any purpose other than as required by law.

3. SERVICES

* The Employee shall provide the Services described in Exhibit A attached hereto.
* The Employee shall perform the Services in a professional and workmanlike manner and in accordance with all applicable laws and regulations.
* The Employee shall be responsible for ensuring that all work performed by them meets the Company's standards and expectations.

4. COMPENSATION AND BENEFITS

* The Company shall pay the Employee a fee of [Fee Amount] for each [Service Period] (the "Fee").
* The Fee shall be paid by [Payment Method] on [Payment Schedule].
* The Company shall provide the Employee with [Benefits] during the Term of this Agreement.

5. CONFIDENTIALITY AND INTELLECTUAL PROPERTY

* The Employee shall keep confidential all Confidential Information and shall not disclose it to any third party without the prior written consent of the Company.
* The Employee agrees that all work product created by them during the performance of the Services shall be owned by the Company, and that they assign all intellectual property rights in such work product to the Company.

6. INDEMNIFICATION

* The Employee shall indemnify and hold harmless the Company against any claims, damages, or expenses arising out of or related to any breach by the Employee of this Agreement.

7. GOVERNING LAW

* This Agreement shall be governed by and construed in accordance with the laws of [State/Country].

8. ENTIRE AGREEMENT

* This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between them.

9. AMENDMENTS

* This Agreement may not be amended or modified except in writing signed by both parties.

10. BINDING EFFECT

* This Agreement shall be binding upon and inure to the benefit of both parties and their respective successors, assigns, and personal representatives.

Hello Raji & Narendra,
I have the following observation/suitable modifications to be made in the draft suggested.
1) Every employee is engaged as per a contract which is governed by 'appointment letter' in other words 'an agreement' unless here the engagement is going to be for a determined limited period only, on expiry of the same the contract/agreement comes to a close ending the employee-employer relationship.
2) The draft suggested "Fees" (usually for Consultants) as remuneration of "services"(service provider). Raji has to clarify whether the person to be engaged renders 'specialised services' or perform certain duties & responsibilities, described duties like any other employees thereat which is not to be billed monthly but paid as remuneration monthly as part of muster roll which I think may be amplified. As Raji mentioned here as "employee" by which there exists 'employer - employee' relationship gets established. Therefore if appropriate, "employee and salary/wages" may be substituted wherever necessary.
3) If an 'employee' all relevant labour laws shall be applicable including EPF/ESI/Gratuity, Bonus etc.
4) A 'Fixed Term Agreement' may be a governing norm for this arrangement.
