Dear Friend, MD is ultimate but for the convenience the same is delegated and in general it is going to be delegated to HR but the delegation should be through Board Resolution. Regards - kamesh

Managing Director has the ultimate authority to issue letters He/she delegates issuance of letters to various Executives. Some times by practice powers are delegated .MD also delegates powers by circular. Few companies have a practice of Board resolution for appointment letters.Board resolution is required only where general power of attorney is not given to MD. This is very rare.
It is a practice that letters are issued by HR. It is not an authority. It is more for convenience. This is mainly to maintain records and also to ensure that uniform practice is followed across

Dear All;
Organisation is an artificial person. Appointment is made by the COMPANY represented by an employee who is the appointing authority. It need not be the top person like MD or Chairman or so. The Board appoints an employee as MANAGER who is authorised to appoint, promote, transfer, punish, dismiss any employee. This MANAGER is to be notified to all employees. There can be different Managers for different divisions of the same company. H
The Manager's authority can be always over rided by the authority who appointed the Manager. This is because who can impart authority can super ride it by withdrawing it.
