I would like to know what my company has to do to engage in corporate or personality development training as we are already registered as business consultants.

We, as a company, are looking forward to entering the training business and want to understand the procedures that need to be followed and how to become a certified training firm.

Kindly elaborate on whether your business organization is a partnership firm, private limited company, or public limited company.

If your company is a private or public limited company, please check your Memorandum of the Company to see if you have included the clause for this business in your main objects. If not, your Memorandum should be altered. You can seek assistance from a Company Secretary to make the necessary changes.

If it is a partnership firm, you will need to add an additional business clause in the deed as an addendum to the earlier deed.

Thank you for your reply, Ma'am. As I have confirmed, we have the clause in our memorandum that allows us to add additional businesses to our company. We are a private limited company that is already registered. Could you please confirm if there are any legalities and certifications required to start up as a training provider in addition to our current businesses? If any certification is required, what would be the best options for the company to choose from?

Dear Friend,

As your company is a private limited company, you do not need to get approval from anyone to start the new business. The only thing you have to do is to have a board meeting and draft a resolution mentioning the new business proposal. Then, approve the same in the meeting and obtain signatures from all directors attending the meeting for your records.

Additionally, you have to register with the Service Tax department as your business falls under the Service Tax net. If you already have service tax registration, there is no need to do it again. Furthermore, service tax registration is not required if your business is at a small scale.

You have to do the company law compliance by filing the mandatory returns too in this regard.

Dear Friend,

Please refer to Section 149 of the Companies Act, 1956. A private limited company is not required to comply with any other regulations to start a new business, except for the Board Meeting. Contrary views are solicited.
