Legal Framework for Pharmaceutical Companies

A pharma company is similar to any other company registered under the Companies Act, 2013, as an organic legal entity for general legal and common accounting purposes. Different labor laws apply depending on its unit-wise activities. For example, its manufacturing facility would come under the Factories Act, 1948, and its registered/corporate office, if located separately, would come under the respective State Shops and Establishments Act; the same applies to regional/branch offices or godowns. In the case of employment of medical representatives for the exclusive purpose of sales promotion operations, the Sales Promotion Employees Act would be applicable to such employees. Social security legislations like ESI, EPF, Gratuity, and Maternity Benefit would apply to the establishment as a whole. Additionally, allied laws like the Payment of Wages Act, 1936, Minimum Wages Act, etc., and Industrial Relations Acts like the Standing Orders Act, 1946, and the Industrial Disputes Act, 1947, would also be applicable.
