I'm Sushanta. I have recently joined a Manpower Consultancy Firm. As I'm new to this profession, I'm facing a few issues with Company/Client Agreements. I have approached a few companies for their manpower requirements, and some of them are ready to take manpower from us but are not ready to sign an agreement.
Seniors, firstly, please email me a company/client agreement form as we are a manpower consultancy, and we like to make agreements with companies/clients who approach us or vice versa for manpower requirements. Secondly, please suggest what to do when the companies/clients are not ready to sign an agreement when they have approached us or vice versa for manpower requirements.

Services Agreement
1. Relationship
This is a non-exclusive agreement, neither of us:
Is or will become legally a representative, agent or a partner of the other
Can make a commitment on behalf of the other.
2. Consultancy Fee.
If a candidate referred by us gets selected and joins your organization, the search fees to Sunita Network Pvt.Ltd will be as below, which will be reviewed 12 months from date of signing of this contract based on quality of services provided.

L1 6 Months to 1 Year 6 K
L2 More than 1 Year 8 K
L2 Official Staff ( T.L, Admin, HR, Receptionist ) 6.33% of CTC
Service Tax as applicable on the above amount as per current Finance Act.
3. Responsibilities
Both parties shall conduct businesses having regard to long-term mutual business interests
Both parties shall ensure confidentiality of each other's information, documents and details.
4. Consideration
Sunita Network Pvt.Ltd will source and submit relevant resumes as per the resource request from ONLINE GLOBAL TECH PVT. LTD.This would be done within a period of 3-4 working days from receipt of request.
Referrals: Full fees are payable in case candidates are selected for any position within the company within 30 days of introduction by Sunita Network Pvt.Ltd.
Sunita Network Pvt.Ltd shall handhold candidates to whom offers have been extended till such time the candidate joins ONLINE GLOBAL TECH PVT. LTD.
After the candidate has joined ONLINE GLOBAL TECH PVT. LTDshould furnish us with the designation and the salary details so that Sunita Network Pvt.Ltd could raise an invoice.
Sunita Network Pvt.Ltd shall replace the candidate(s) in case he/she leaves within 90 days.
Sunita Network Pvt.Ltd will raise the invoice after the completion of 30 days of a candidate from the date of joining.
5. Termination
Either party may at any point of time terminate the agreement without cause by giving 30 days written notice and without notice in the event of breach by the other of any of its duties and obligations hereunder.
6. Mode of Payments
Payment of commission to Sunita Network Pvt.Ltd should be made within 15 days from the date of invoice to ONLINE GLOBAL TECH PVT. LTD.
Payments made by your organization should be in form of a crossed Cheque or Draft, drawn in favor of “Sunita Network Pvt.Ltd”.
