When the purchaser and a service provider enter into the agreement, it is the last stage. However, before that, a purchaser sends the Request for Proposal (RFP) to the potential service provider. Based on the RFP, a service provider sends the quotation. Negotiations take place based on the RFP and the quotation, and the service agreement is prepared accordingly.
We, the members of this forum, are not privy to the RFP, the quotation, and the negotiations. Therefore, it would be difficult to suggest anything. Secondly, using someone else's agreement is not conducive as it would require a thorough study of the template downloaded from the internet, and one has to be cautious while deciding which clauses to include or exclude.
