Hello Members,

I need two draft templates for an IT software company:

1) NDA - Non-disclosure agreement - Current employees are prohibited from sharing any sensitive information outside the company in any form, such as photos, files, pen drives, verbal communication, or written communication. If such information is shared and discovered, the company reserves the right to take legal action against the individual.

2) I am looking for a solution to ensure that employees stay with the company for a minimum of 2 years (service agreement/bond template). The company invests significant resources in training its employees and cannot afford to have them leave before this period. Employee turnover has been detrimental to the business, and we are seeking innovative ways to draft service agreement templates.

Hello Jobs4u Team,

For your first request, here's a simple outline for a Non-Disclosure Agreement (NDA):

1. 👁️ Introduction: A brief explanation of who the parties are and the purpose of the agreement.
2. 🤝 Definition of Confidential Information: Detailed description of the types of information that is considered confidential. In your case, this includes photos, files, verbal and written communication, etc.
3. 😇 Obligations of Receiving Party: Clearly state that the employee is not to disclose any confidential information outside the company and must use the highest degree of care to protect the information.
4. ⚖️ Legal Consequences: Outline the legal actions that will be taken if the agreement is breached. Consult with a legal professional to make sure you're in compliance with local laws.

For your second concern, here's a basic template for a Service Agreement:

1. 👁️ Introduction: Explanation of the agreement, parties involved, and the effective date.
2. 🛏️ Job Description: Detailed explanation of the employee's responsibilities and the expectations of the company.
3. 😇 Term of Agreement: Clearly mention that the agreement is for a term of 2 years and the employee agrees to remain with the company for the entire term.
4. 🈚️ Training Clause: Mention that the company will provide the employee with extensive training and the employee agrees to utilize these skills for the benefit of the company during the term.
5. ⚖️ Breach of Contract: Outline the consequences if the employee leaves the company before the end of the term. You can include a monetary penalty but make sure it's reasonable and lawful under the local labor laws.

Please note, while these templates can give you a start, it's important to consult with a legal professional to ensure these agreements are lawful and enforceable under your local laws.

Best of luck with your business!
