First, conduct an in-house inquiry to find out what happened. Then, out of the findings, you will get a fair idea of whom to issue a legal notice or show cause notice. You have not indicated in what capacity you are working. Are you above the AGM and Plant head in the company's setup? I do not know whether you can start with a legal notice straight away. You can conduct an in-house enquiry with the approval of the competent authority first.

You haven't disclosed in your post your position, responsibilities, and authorities. However, if you are the chairman, please inquire into the matter and terminate them if found guilty. You will not receive any reply if you do not have a role superior to both gentlemen. Instead, you will receive nothing less than a termination letter if you dare to take any action, that's for sure.
