Dear Sir/Madam,

I would like to inquire about the authorized signatory who can sign off on day-to-day business activities. In our company, we have a plant manager; however, they are not authorized to sign off on day-to-day business activities as the resolution for the authorized signatory has not been passed during a board meeting.

Therefore, I am seeking clarification on whether our plant manager can sign on legal documents such as those related to the factory, PF, ESIC, etc.

Hi,

It depends on the type of company you are working for. If the managing director or any other authorized person can delegate signing power to the plant manager, then he can make a duly constituted delegation of authority, and your plant manager can sign. For signing regular correspondence, the plant manager can sign with his name and designation. However, to sign returns, reports, and replies to statutory notices, authorization from the board is a must.
