I would want to know how a consultant agreement is made. What all terms and conditions are part of the agreement ,and what points should be made clear to the consultant in the agreement.

i m working as an HR-Executive in mumbai based company..
My company has done an agreement with one leading HR consultancy to design Organization Structure and Define Roles and Responsibility of employees..
For that i want to know from seniors how to design Agreement paper for this..
what all terms and conditions should be included..
Please seniors help me for this as i am fresher.
