Hi nigha, Yes, in some cases you require the Board resolution also, otherwise it can be challenged in court of law by the opponents. Thanks and regards - kameswarao

Dear Nigha,
Job description is entirely different from the authority of delegation, the authority of delegation is entirely an administrative activity and the job description talks about the deliverables.
The Delegation of authority is related to the authority to sign the documents / papers, approving the purchase orders / entering in to agreements / signing the MOUs / approving the expenditure / cash transactions / approvals even signing the cheques etc., and this needs to be approved by the Board of directors or an authorised signatory on behalf of the board.
The job description needs to be finalized by the HR in coordination with his / her HOD, the JD is related to his / her deliverables.
I believe you are clear or else you can mail me for further details if any required.
Thanks and regards - kameswarao

Please describe the level of delegation by management that would rise to the level of a Board Resolution? Many of my associates and executives are confused about delegating authority as part of managing projects and assignments vs. something much higher in the corporation that would require a resolution. Can you please define..
