Dear Sakshi,

For each assignment or project, you need to issue the Purchase Order (PO). Before the issue of the PO, you need to finalise the standard terms and conditions of the PO. This is what the contract agreement will be.

However, contract agreements vary depending on the nature of the requirement. Therefore, we the members of this forum are outsiders and cannot comment on the terms and conditions of the contract agreement. One has to study thoroughly the nature of your business and what kinds of work the contractors will do. Unless we know about it, nothing can be said about it.

Nevertheless, you can cover the following points:

a) How will the quality of the work be defined? How will the accuracy be measured?
b) Delivery time
c) Cost of the services
d) Whether the company will provide any tools, instruments, assets to the contractor? If yes, then you need to have a separate agreement for handling those assets.
e) Place of the delivery of the work
f) Can the contractor sub-contract the work? If yes, then what are the terms and conditions of sub-contracting?
g) What will be the workflow? What will be the method of issue of the PO? What will be the method of raising the invoice?
h) Penalties or dis-allowances for deficiency in quality
i) Penalties or dis-allowances for deficiency in the quantity
j) Payment terms
k) What will be the method of inspection of the finished work?
l) What will be the method of escalation to address the workplace issues?
m) Will there be a midterm review of the project? If yes, then what will be the frequency? What will be the format of the reporting or the format in which information to be provided?
n) Terms and conditions of the contractor wish to withdraw while the project is on?
o) Under what conditions the company will terminate the services of the contractor?
p) Clause on force majeure
q) Conditions of indemnity
