You can't do anything about this situation since she has reaped the fruits of loyalty...working in one organization for 15 years is not child's play. She must have shown her performance in the past, and that could be the reason for her having stayed for 15 years. Everyone has some bad qualities; that doesn't mean that you can criticize him or her. So, you should try giving her a memo and see the consequences of it. If the boss says anything to her, then try to make him understand the reality. If he is not ready to listen to you, then give up. You grow and leave the company.

Please consider becoming aware of how your perception of the lady is affecting you. Once you have taken notice of the thoughts that are evoked by her in you—particularly in a situation you would call toxic—consider accepting and letting go of those thoughts. Try to be in the moment; there is a lot more happening at your workplace beyond just interactions with the lady. Do not miss out on these other experiences due to any preoccupation with her.

I think understanding her can surely help. What is the quality in her that the boss listens to her? Is it her experience, dominating nature, convincing skills, etc.? If her decisions are really affecting business and others, identify those affected and unite to get rid of her. These things really help and are needed sometimes in an organization. Sometimes people find a comfort zone at a place and don't want to leave; it can be a mere reason to think she is loyal to the company.

Till now we were just reading a one-sided story. Most of the members (including me) had posted their opinions without knowing much about you.
1) No one knows what exactly is the PROBLEM,
2) Who has faced the PROBLEM?
3) Who has incurred the LOSS (need to categorize it)
4) How many were AFFECTED (in what way)?
5) What exactly is the SITUATION over there?
Now, it's time for us to know the other side of the story. We would like to know more about you. Posting our opinions may or may not help you solve the problem. It will only help us reveal our perceptions about the situation without evaluating the FACTS. We, as members, never knew "to what extent our opinions had helped members cater to their requirements or solve their problems." Instead of wasting our time, I believe that "we must know the facts - BOTH sides and then post our comments/opinions." This is the only way for members (intellectuals) to develop their competencies.
