Hi,

In terms of HR the following points can be added in the agreement

No poaching. The Client should not encourage the Programmer to resign and join them.

terms like Programmer will be on the rolls of Parent Company

Salary : who will pay salary.

Right to revoke the arrangement of deputation of Programmer to Client place at any point of time during the stipulated period with or without information.

Yes, we offer IT Manpower. for example, a company XYZ wants a website designer for 2 months so we quote them and provide them Website designer. but we want an agreement between XYZ and My Company so they should not contact in future directly to work with that designer.

Hi,

You can add Non-Solicitation of Candidates clause in your agreement like

Non-Solicitation of Clients During the restricted Period, the (name of the Company) shall not solicit or otherwise attempt to establish any business relationship with any Person that is, or during the _months period preceding the date of the Programmer's termination of employment with the Company......

You have posted a question that relates to commercial confidence between two parties, breach of which can be actionable and damages are entailed in such type of agreements. Since providing professional manpower for IT work is different from providing manpower for general office requirement, therefore a customized agreement is essential to be executed between two firms i.e. your company and the hiring company.
