HI Can any body help me in explaining how to terminate a senior employee. How can we explain him that he is not performing well.

Just start counseling and let the employee know these are your weak areas and also let the emploee know that failing to improve and to get required goals the management might take a decision, in this way employee will know and will be mentally prepared and if things doesn't change then there is no other option than to terminate. Just call the employee for discussion and start discussing about different things and then in between ask the employee that how can HR help you in your job, then the employee will tell you about different things and then ask the employee that hope you are not having any difficulties at work or at home and then tactfully let him know about his performance, hope this will work out for you.

Fahd has put in the points correctly.
I want to add, you can do it with the performance appraisal report. The immediate superior of the personnel can be given this task.
A counselling session would be appropriate for a senior personnel so as not to put him in a state of shock and shame.
I hope other members would be giving u more valid and appropriate measures.
