b. In the event of the Candidate backing out without valid reasons, the Candidate may be liable for any costs incurred by the Agency in connection with the recruitment process.

8. Penalty Clause

a. In the event of a breach of any terms of this MOU by either party, the breaching party shall be liable to the non-breaching party for any direct damages incurred as a result of the breach.

9. Governing Law

10. Termination
