Yes, but the Director should be a female to be the Chairperson of the ICC. A male Director can be a member only.

If the Director of the company is a male person, he can be a member only.
According to the law :
Formation of the ICC will constitute the following:
1.Presiding Officer – senior most woman employee in the work place
2. Not less than two members from among employees preferably committed to the cause of women or who have had experience in social work or have legal knowledge
3. One member from among NGOs or associations committed to the cause of women or a person familiar with the issues relating to Sexual Harassment
Atleast one half of the total members so nominated shall be women
