Dear Seniors,

Please help me out. My MD wants me to draft a contract agreement for an external agent. I have given him a couple of contract agreement formats used in India. As he is from the UK, he doesn't feel confident about the way they are drafted and wants something more to be included.

Please suggest a good contract template for the same.

Dear All,

That was a great response from all of you. I heartily convey my gratitude to you all for showing concern. Here, I narrate the whole scenario regarding the contract agreement. We are hiring an external source (an individual) to maintain our web servers for a certain period (the specific time is not mentioned) for a certain compensation (the amount has not been revealed). These were the inputs. I have prepared a contract agreement including the following postulates:

- Services intended by the contractor (The External agent).
- Confidentiality
- Compensation
- Conditions for termination of the contract
- Intellectual Property rights
- Jurisdiction

These were the main points highlighted. My MD reviewed the above contract agreement and conveyed that it was good but lacked something, which did not instill confidence in him yet.

I became frustrated as they have not provided me with the proper inputs and information on what they are looking for in the contract. I hope this clear depiction helps. I am eagerly awaiting valuable feedback from you all!

Dear Sowmya,

Apart from the above clauses, you will have to incorporate the Term of the Agreement, Indemnification provisions, events of breach and time frame to cure it and consequences thereof, Liability Clause, Independent Contractor Status clause, Survival provisions, Remedies, and Advice of Clause, etc.
