I am working in a logistics company. We have branches throughout India. Our company is registered under ESIC, and a subcode has been obtained for all the branches.

Now, recently, our company has made a joint venture with a foreign company and formed a new company. All the employees have been taken over by the new company with an undertaking of continuity of services. For the new company, a new Memorandum of Articles has been created.

Kindly advise me on whether we can continue with the ESI registration of the previous company and continue remitting the ESI contributions with the existing code, or if we have to register separately for the new company. Is it possible to register all the branches and obtain a subcode at one stretch?

Kindly guide me. Your help is needed urgently.

Dear Sir,

If you have formed a new company that requires a fresh code, and there is a merger resulting in a change of the company name, and the new name is approved by the registrar of companies, then the same code can continue along with the updated information reflecting the change of name with the relevant authorities.

Please guide me on how to proceed with new registration. Since the Head Office and all branches throughout India were started on the same day, how can we obtain registration and subcodes for the branches? Is it possible to do this all at once, or do we need to first get a code number for the main office in Chennai and then, after receiving the C-11 from ESI, apply for subcodes for the branches?

Dear ERV,

Please send a new company registration form of your head offices to ESIC office and also send a list of employees who are already covered under ESI with the previous code. You would receive the new codes against the old code of your company and employees. The same process should be applied to your branches as well. You can also perform a similar exercise for EPF.

I am working in a C&F company. We have a head office in Mumbai and branches in Andhra Pradesh and Gujarat.

Our company is registered under ESIC, and a subcode has been taken for all the branches. Kindly advise me whether we can pay total ESI (including branches) in Mumbai or we have to pay branch-wise separately?
