1. can one have two manufactucring units (Pvt Ltd companies) in the same premises.

Two Manufacturing Private Limited factories can work but both factories have separate premises, means both factories are separate demarcated by wall.

2.Can we get a factory licence and a trade lincence for the second company also for the same premises legally?

Two different factories have more that 10 persons working and having independent power supply can get independent factory license.

3.Can we have a Leave & Licence agreement having the whole premises for both cos?
No. Two different private Limited companies can not get Leave & License agreement of single premises. this will be violation

Further Inputs:
1.These two units are separate Pvt Ltd companies having common Directors
Common directors can possible
2.Both have separate registrations with GST,PF &ESI possible
3.One company (30 years old and alive ) to cater to Govt orders and the second company ( going to start production) can start beside premises
4.Both cos have Similar Products to manufacture- they can do manufacturing but on separate premises

Regarding Pollution Control Board, Consent to Establish ...CCA/CTO depends on product of the manufacturing and raw material etc..but premises must be separate...

You can have N number of factories within a compound. But if there exists financial integrality, ie, transfer of fund from one factory to another, for the purpose of application of labour laws like, Employees Provident Fund Act, ESI Act, ID Act, Gratuity Act etc the establishments will be clubbed together and the total number of employees put together will decide the applicability. For applicability of ESI, though it required only 10 workers and if you have a unit with less than 10 workers that unit will also come under the ESI on the presumption that the number of employees in the other units put together exceeds 10. Similarly for PF, if you have made it applicable to other units or the number of employees 20 in all, the coverage will be there for units with less than 20 workers also. The applicability of chapter VB of ID Act and similar other enactments will also be governed by the total number of employees in all the units put together.

OPC and Private Limited Company are two different business structures governed by the Companies Act. The concept of One Person Company encourages single and enthusiastic entrepreneurs to operate own venture. However, Private Limited Company requires two persons to incorporate the company.

I am not sure that it will be that easy to get the consents from PCB and approval of building plans from the Factories Inspector .
