Kindly guide me how to make an MoU document between a software company [SC] and hardware company [HC] in a situation where the SC will be using their own software and the hardware and staff provided by HC in the name of the SC and the SC will get the payment from client and give the hardware cost and service charge to the HC.

Without getting into the nitty-gritty of the arrangement between the SC & HC, this looks out & out like a typical Out-sourcing arrangement.
The SC is out-sourcing the hardware part & people services to the HC.
You would be able to find Agreement formats in this Forum itself for such agreements--just use the 'FIND INFORMATION' & 'research' tabs @ the top of this page.
