As our firm has crossed a number of 20 now, we are getting ourselves registered for PF, ESIC. However, I would like to know whether Directors of the firm would be included in the number of employees and would they also be under PF, ESIC registration.

hi Salloni,
If Directors get salary from your company's account you have to count them, means if they are on the rolls of the company they will be eligible for PF.
ESIC is paid to them whose Monthly Gross is equal to or less than INR 15,000/-.

Dear Salloni,
As per the law if the employees are more than 20 you have to get registered under the PF/ESI act, all the employees nature of duty whatsoever if you are paying the salary/wages from the employer roles ( Not on contractual labour act) you have to include.

The Appellate Tribunal has held that the directors can not be treated as employee. It has been held that,the Directors are also paid the remuneration had the chance of profit and risk of loss and in that cirucumstances in can't be said that the Directors who are getting remuneration shall come within the definitin of "employees" under the Act.

Pl. refer my previous mail.... As I mentioned as per the ACT PF is not covered for Directors of the Company. whereas Professional Tax is covered for each directors for sitting directors. Maximum 200/- you will remit every month for sitting directors.

If the director is only on the board he is not considered.But if he is working and drawing salary( not profit share) he is counted as 'persons' for the magic number of 20 for coverage of establishment.

For counting heads you have to take Directors also, those who are working in company and getting salary for their work. whether they may be getting profit sharing or not. and you have to deduct and pay the ESIC OR PF contributions of their salary.

If your firm is proprietary, do not include the proprietor, if partnership, you have to refer the clause of wages in partnership dead, if Pvt Ltd co and directors are getting salary you can include them in the strength of PF Registration.
